1. Use of Our Services

a) Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract. If you are using the Services on behalf of an organization, you represent that you have authority to bind that entity.

b) Permitted Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:

• Violate any applicable laws or regulations
• Interfere with the functionality of the platform
• Attempt unauthorized access to systems or data
• Use the Services to transmit unlawful, harmful, or confidential content

2. Account & Access

Some features require you to register an account. You are responsible for:

• Keeping login credentials secure
• Ensuring that all information you provide is accurate and up to date
• Notifying us of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Intellectual Property

All content, software, trademarks, and technology related to the Services are the exclusive property of GenieAI Now or our licensors. You may not:

• Copy, modify, or create derivative works
• Distribute or resell the platform
• Reverse-engineer or attempt to extract source code

You are granted a non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes.

4. Voice and Appointment Data

If you use our voice-AI system to capture appointments or interact with patients:

• You are responsible for ensuring you have obtained any required consents from individuals whose data is processed.
• GenieAI Now will handle data securely and in accordance with our Privacy Policy.

We do not claim ownership over any patient or appointment data you upload or generate through the system.

5. Fees & Payments

Access to certain Services may require payment. Pricing and terms will be outlined in a separate agreement or subscription plan.

You agree to:

• Pay all fees when due
• Provide accurate billing information
• Notify us promptly of any payment issues

We reserve the right to suspend Services for non-payment.

6. Service Availability & Changes

We aim for 99.9% uptime but do not guarantee uninterrupted access. We may:

• Modify or discontinue parts of the Services at any time
• Update features or interfaces without notice
• Perform maintenance that could result in temporary downtime

7. Termination

You may terminate your use of the Services at any time. GenieAI Now reserves the right to suspend or terminate access:

• For violation of these Terms
• If required by law
• Upon our discretion, with or without notice

Upon termination, your right to use the Services will cease immediately.

8. Limitation of Liability

To the fullest extent permitted by law, GenieAI Now shall not be liable for any indirect, incidental, special, or consequential damages, including:

• Data loss
• Business interruption
• Errors or omissions in any content

Our total liability shall not exceed the amount paid by you for the Services in the 12 months preceding the incident.

9. Indemnification

You agree to indemnify and hold GenieAI Now, its affiliates, officers, and employees harmless from any claims, losses, or damages arising out of:

• Your use of the Services
• Your violation of these Terms
• Any data or content you submit through the platform

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts of Toronto, Ontario.

11. Updates to Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
